Terms of Service
These terms govern creators, teams, and students using UPLY.

UPLY is operated by Oliver Enoc Castro Rodriguez, an individual business based in Iowa, United States. This initial commercial beta is limited to adults age 18 or older who reside or operate in the United States, and to offers in USD. By creating an account, selling, or purchasing, you confirm your eligibility and accept the policy version shown above.
2. Creators and content
Creators retain ownership of their content and grant UPLY a limited license to host, process, adapt, and display it only to operate their academy and requested AI features. Each creator is the seller of their courses and is responsible for accurate descriptions, rights, prices, delivery, student support, refund decisions, taxes, and legal compliance. Creators must also accept the separate Creator Agreement.
3. Student access
A verified purchase grants a personal, limited, non-transferable license under the creator's offer. Students may not copy, redistribute, resell, bypass access controls, or share credentials.
4. Payments and subscriptions
Creators choose a one-time payment or monthly membership. Stripe processes direct charges on the creator's connected account. Before a monthly purchase, UPLY separately displays and records the amount charged today, monthly renewal, cancellation method, and paid-through access. Monthly charges continue until canceled from Profile before the next renewal; cancellation preserves access through the paid period.
UPLY charges creators no fixed monthly platform fee and applies a 7% platform fee per payment, capped at US$699 per academy per month. Stripe processing fees are separate. Automatic tax calculation is not currently enabled; neither UPLY nor creators should represent that taxes are calculated or remitted automatically.
5. Usage charges
UPLY currently includes up to 5,000 video delivery minutes, 1,000 stored video minutes, and 50 AI credits per month. Displayed overage projections are informational. Accepting the usage policy does not authorize automatic overage charges; any future automatic billing requires a separate activation and authorization.
6. Acceptable use and moderation
You may not use UPLY for unlawful, infringing, fraudulent, deceptive, dangerous, abusive, or malicious activity, unauthorized data extraction, malware, or attempts to access another academy. UPLY may reasonably restrict or suspend an account to protect people, payments, content, and the service or to comply with law.
7. Availability and responsibility
UPLY works to provide a secure and reliable service but cannot promise uninterrupted availability. To the fullest extent permitted by law, UPLY is not responsible for indirect losses or a creator's content, promises, quality, tax position, or business decisions. Mandatory consumer rights remain unaffected.
8. Governing law and contact
These terms are governed by Iowa law and applicable United States federal law, without overriding mandatory consumer protections. Courts with lawful jurisdiction in Iowa may hear disputes that are not resolved informally. Questions: soporte@uplylearn.com.
