Creator Agreement
The commercial responsibilities accepted before connecting Stripe or activating an offer.

This agreement is between Oliver Enoc Castro Rodriguez, the individual operator of UPLY in Iowa, and the creator. During the initial beta, creators must be at least 18, operate in the United States, use USD, provide truthful information, and maintain a Stripe account in good standing.
2. Seller and course responsibilities
The creator is the seller of each course, chooses the price and billing type, and is responsible for accurate marketing, content rights, delivery, student support, refund decisions, taxes, permits, and compliance with applicable laws. UPLY provides software, hosting, access controls, and payment orchestration and is not the merchant of record for the creator's direct charges.
3. Stripe Connect
Stripe processes payments on the creator's connected account. By connecting, the creator also agrees to the Stripe Connected Account Agreement, authorizes UPLY to send necessary account and transaction information to Stripe, and must keep that information accurate.
4. Fees, refunds, disputes, and negative balances
UPLY charges 7% of each successful payment, capped at US$699 per academy per month. Stripe fees are separate. Refunds and disputes are funded according to the connected account and Stripe configuration. An UPLY application fee is not automatically returned by Stripe; UPLY may return or retain it according to the refund outcome, mandatory law, fraud, and the published policy. The creator remains responsible for obligations to students and any negative balance assigned to the connected account.
5. Taxes
Automatic tax calculation is not enabled. The creator must determine registrations, collection, invoices, and filings that apply to the creator and course. UPLY may have separate marketplace-facilitator obligations and may change the checkout or require tax information after professional review. Creators must not state that UPLY automatically handles their taxes.
6. Content, AI, suspension, and termination
The creator grants UPLY the limited rights needed to host, transcode, organize, display, and process content and requested AI outputs. The creator must review AI suggestions before publication. UPLY may restrict unlawful, infringing, fraudulent, unsafe, or deceptive content and may suspend commerce to protect students, payments, or the platform.
